These terms and conditions (the “Agreement”) are entered into by and between CypherHub, a Punjab corporation, (“Developer”) and the entity or person placing an order for services or otherwise engaging Developer’s services (“Client”). This Agreement is effective as of the date of acceptance by Client.
1. Services
1.1 Developer agrees to provide app development services to Client as described in the project scope and specifications provided by both parties.
1.2 Client agrees to provide all necessary information, materials, and cooperation required for the successful completion of the project.
2. Payment Terms
2.1 Client agrees to pay Developer the agreed-upon fees for services rendered, as outlined in the project proposal or contract.
2.2 Payments shall be made according to the agreed-upon schedule, with an initial deposit due before the commencement of work.
2.3 Late payments may be subject to interest charges of 2% per month.
3. Project Timeline
3.1 Developer agrees to use best efforts to meet the project timeline outlined in the project proposal, but delays may occur due to unforeseen circumstances.
3.2 Client agrees to provide timely feedback, approvals, and information required for project completion.
4. Intellectual Property
4.1 Client acknowledges that all intellectual property rights, including but not limited to copyrights, patents, and trade secrets, related to the developed app shall belong to Client upon full payment of all fees.
4.2 Developer retains the right to showcase the completed project in their portfolio and marketing materials.
5. Confidentiality
5.1 Both parties agree to keep confidential all information shared during the course of the project, including but not limited to proprietary information, trade secrets, and project details.
6. Warranty and Support
6.1 Developer provides a 30-days warranty period from the date of project completion during which any defects or issues will be addressed at no additional cost.
6.2 After the warranty period, ongoing support and maintenance can be provided at an additional cost, as outlined in a separate agreement.
7. Termination
7.1 Either party may terminate the Agreement with written notice if the other party breaches any material term or condition and fails to remedy the breach within 30 days of receiving notice.
7.2 In the event of termination, Client shall pay Developer for all work completed up to the termination date.
8. Limitation of Liability
8.1 Developer shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided under this Agreement.
9. Governing Law
9.1 This Agreement shall be governed by and construed in accordance with the laws of India.
By signing below or by engaging Developer’s services, both parties agree to be bound by these terms and conditions.
